SphereClerk Terms of Service

The short version

  • SphereClerk sends you ready-made reminders about Texas property-tax dates, with your name on them. You decide whether to send them, and to whom.
  • We are an information service. We do not give tax, legal or financial advice, and we never file anything or act for anyone.
  • We are not part of, or approved by, TREC, the Texas Comptroller, any appraisal district or FEMA.
  • Dates come from public sources and can change. If a date we give you is wrong or late, the Missed Date Guarantee refunds your year. That refund is the most we owe for it.
  • You are the advertiser. Your ads, your list and your compliance with TREC rules and email law are yours.
  • Memberships renew until you cancel: $290 a year or $59 a month. Full refund for 30 days after any payment.
  • Wyoming law applies. There is no arbitration clause.

1. Who we are, and this agreement

SphereClerk (sphereclerk.com) is operated by Delvir Limited Liability Co., a Wyoming limited liability company, 30 N Gould St, Ste R, Sheridan, WY 82801, United States (“Delvir,” “we,” “us”). Contact: team@delvir.co. These terms are the agreement between Delvir and the person or company using SphereClerk (“you”). By looking up a license, asking for reminders, signing in, or buying a membership, you accept them. At checkout you confirm that you agree to these terms, including automatic renewal, and we keep a record of that agreement and of the version you agreed to.

2. Who may use SphereClerk

SphereClerk is a business service for real estate license holders in Texas. You must be at least 18 years old and able to enter into a binding contract. If you accept these terms for a company, you confirm you are authorised to bind it. You may use the membership only for your own Texas real estate license, and one membership covers one license. SphereClerk is offered in the United States only.

You sign in with a one-time emailed link or, where offered, Google Sign-In. We do not create or store a password for your account. Anyone who can read your inbox can sign in as you, so keep that inbox secure. If you delete your account, your own account data is permanently deleted within 30 days, other than billing and legal records we must keep.

3. What SphereClerk is, and what it is not

SphereClerk is an information and marketing-material service. Before Texas homeowner property-tax dates, it prepares materials (an email text, a postcard, a flyer, a social image and caption, and a web page, together a “kit”) that restate public dates, official form names and official links, laid out with the name, brokerage, license number and other details you give us. It also offers a free license page with renewal reminders, flood-map notice kits and, for annual members, a first-year calendar for buyers.

Nothing SphereClerk provides is tax, legal, financial, appraisal or insurance advice. We are not a property tax consultant and are not registered as one under Texas Occupations Code chapter 1152. We do not prepare renditions, file protests, applications or payments, represent anyone before an appraisal district or appraisal review board, judge whether any homeowner qualifies for any exemption, or say whether anyone should protest. We file nothing with any agency, for you or for anyone else. Kits say the same thing to every homeowner, and each homeowner’s appraisal district, tax office or FEMA decides what applies to them.

No affiliation. SphereClerk and Delvir are not affiliated with, endorsed by, or acting for the Texas Real Estate Commission (TREC), the Texas Comptroller of Public Accounts, any appraisal district or appraisal review board, any county tax assessor-collector, the Federal Emergency Management Agency (FEMA) or any other government body. We name them only to say where information comes from. Kits are not official notices and must never be presented as one.

4. Where the dates come from, and how far we stand behind them

Dates, form names, statute citations and links come from public sources: the Texas Tax Code, the Texas Comptroller of Public Accounts, appraisal district websites, the Federal Register and FEMA. Those sources change, are corrected and are republished without notice to us. Some dates depend on local choices (for example, whether a taxing unit offers early-payment discounts or split payments) or on when a homeowner’s own notice was delivered. The official source is always the authority, not SphereClerk. A date that is missing here is never an all-clear that no date applies.

We stand behind our dates in one way, and only one: the Missed Date Guarantee, exactly as sold: “If any date we give you is wrong or reaches you less than 14 days before it closes, we refund your whole year.” How it works:

  • It covers Deadline Kits for Texas property-tax dates in the counties on your profile. It does not cover flood-map kits, whose timing FEMA sets, the free license page or license reminders, or a sample kit shown to someone who is not a member.
  • A date is “wrong” if the date we gave you differs from the date the official source lists for that deadline on the day of the deadline, for any reason, including a change the source made after we sent the kit. A protest date stated as “or 30 days after your appraisal notice was delivered, whichever is later” is not wrong because a homeowner’s notice gives a later date. When it is unclear whether a date was wrong or late, we treat it as if it was.
  • A kit “reaches you” on the day we email it to you or, if you turned kit emails off, the day it appears in your account. The 14-day part covers dates whose kit was due (30 days before the date) on or after the day your membership was paid and your profile had at least one county.
  • “Your whole year” means: for an annual membership, the $290 charge for the current membership year; for a monthly membership, all monthly charges in the 12 months before your claim. The refund goes to your original payment method.
  • You keep your membership to the end of the period you paid for. When we refund, we turn off renewal at the same moment, so you are not charged again by surprise, and we tell you by email. You can rejoin at any time.
  • Claim with “Ask for a refund” in your account, the link in any receipt or renewal email, or one email to team@delvir.co. You may claim at any time while you are a member and for at least 60 days after your membership ends.
  • The Missed Date Guarantee is your only remedy, and our entire liability, for any date or other information in a kit that is wrong, late, missing or changed.

5. You are the sender and the advertiser

Every kit goes out, if at all, in your name, under your license, from your own email, mailbox or social account, to people you choose. We never contact your clients, and we never see your client list. You alone decide what to send, to whom and when, and you are responsible for it, including:

  • TREC’s advertising rules (including 22 Texas Administrative Code §535.155) and the Information About Brokerage Services notice rules. We lay kits out to help with these rules, but we do not certify any piece, and your broker’s review comes first.
  • Your broker’s policies, and your broker’s approval where it is needed.
  • Email, text and mail law, including the federal CAN-SPAM Act and the Telephone Consumer Protection Act: a valid postal address in commercial email, honouring opt-outs, and having the right to contact each person you contact.
  • Any change you make to a kit. If you edit a date, a legal line or a link, the edited piece is yours, not ours.

Your details. After you pay, you type a TREC license number and we pre-fill the name and broker from TREC’s public records, which can lag or be wrong. You may correct the name and brokerage that print. At setup you confirm that you are the holder of that license or act with that person’s authority, and that you are responsible for your own advertising. Before you send anything, you confirm that your name, brokerage name, license number, phone, photo and IABS link are correct and that you may use them. Your IABS link must point to your broker’s completed form. More than one account may use the same license number (for example, an agent and an assistant); each account is separate, and no account’s setup changes another’s.

6. The free license page

When anyone types a Texas license number, we show a page built from TREC’s public license records (name, license type, status, dates, county and sponsoring broker), with a sample kit. The page lives at a private, unlisted link that expires after 45 days (a link we email you lasts at most 90 days), and search engines are told not to list it. TREC’s record is the source: if something on it is wrong, correct it with TREC and our copy follows when we next refresh it. To have our copy of your record deleted or a page withdrawn, email team@delvir.co from any address and name the license number. License reminders are free and stop with one click. We send them only after the address is confirmed by the link we email to it. A license page is public information: nobody owns, claims or controls one, and anyone may look up any Texas license.

7. Kit pages and first-year calendars

Members’ kit pages and first-year calendar pages live at private links that cannot be guessed, are never listed on the site and are not listed by search engines. Anyone you send a link to can open it, and it shows what you put on it, including your photo. Each page names the license number it was set up under and carries a “This isn’t me” link. If someone uses that link, we pause your pages at once while a person checks, tell you by email, and you can ask for a review from your account; your kits and downloads keep working. You can switch kit pages off in your profile at any time, and they stop when your membership ends. A first-year calendar holds only a buyer’s first name, a county and a closing date. Enter a buyer’s first name only if you may share it, and never add anything else about them.

8. Acceptable use

You agree not to:

  • set up kits under a license that is not yours unless you act with the license holder’s authority, pretend to be another person, or share one membership across licenses;
  • use the “This isn’t me” link about a page that does not use your name;
  • present a kit as a government notice, change its dates, sources or required lines and still present it as ours, or use it to give tax advice or to offer property tax consulting;
  • send kits to people who asked you not to contact them, or to lists you have no right to use;
  • upload a photo or other material you do not have the right to use;
  • scrape the site, run bulk license lookups, resell or redistribute our materials or data, reverse engineer the service, overload it or try to reach parts of it you were not given; or
  • use SphereClerk in any way that breaks the law or another person’s rights.

We may suspend or close an account that breaks these rules, or where the law requires it. If we close a paid account for any reason other than your breach, we refund the unused part of the period you paid for.

9. Memberships, renewal and cancellation

The annual membership adds the New-Owner First-Year Calendar. Prices are in US dollars. Payments are processed by Stripe. Full refund terms are in our Refund Policy, which is part of these terms.

10. Our materials, and yours

We own SphereClerk, its templates, layouts and text. While you are a member we grant you a personal, non-transferable right to use your kits to market your own real estate services, and you may keep using pieces you sent or printed while you were a member. You keep ownership of your name, photo and details, and you let us use them only to build and show your kits and pages.

11. Changes to the service

We may change, add or remove features, sources and kit formats. If we stop the paid service, we refund the unused part of any period you paid for.

12. No warranty

Apart from the Missed Date Guarantee and the refunds in our Refund Policy, SphereClerk is provided "AS IS" and "AS AVAILABLE," without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that any kit will bring you clients, sales or referrals, or that the service will be uninterrupted or error-free.

13. Limitation of liability

To the maximum extent the law allows, Delvir Limited Liability Co.’s total liability to you for all claims arising out of or relating to SphereClerk is limited to the amount you actually paid us for SphereClerk in the twelve months before the claim arose, which is zero if you used only the free features. In no event are we liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost commissions, lost clients, penalties or interest charged to anyone, or claims by people you contacted, even if we were told they were possible. Some places do not allow some of these limits; there, they apply to the fullest extent allowed.

14. Indemnity

You agree to indemnify and hold Delvir Limited Liability Co. harmless from any claim, demand, fine or cost (including reasonable legal fees) arising out of what you send or publish, the people you contact, the details and photo you give us, your breach of these terms, or your breach of any law or rule that applies to you, including TREC’s rules and email and telephone law.

15. Time limit to bring a claim

Any claim arising out of or relating to these terms or SphereClerk must be filed within one (1) year after the claim arose, or it is permanently barred.

16. Class action and jury waiver

You may bring claims against us only on an individual basis, not as part of any class, collective, consolidated or representative action. To the fullest extent the law allows, you and Delvir each waive any right to a jury trial. If this section is held unenforceable as to a particular claim, that claim, and only that claim, is severed and proceeds in the courts named below.

17. Governing law and venue. No arbitration.

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Any dispute not eligible for small-claims court will be brought only in the state or federal courts located in Wyoming, and you consent to that venue. Either party may bring a qualifying claim in small-claims court, and nothing here takes away a mandatory consumer-protection right of the place where you live. Before filing, write to team@delvir.co so we can try to settle it.

There is no arbitration clause in these terms. You are not giving up your right to go to court, and neither are we.

18. Changes to these terms

We may update these terms. We change the dates and version at the top of this page, and for a material change we email members before it takes effect. Changes apply going forward only. A change never reduces the Missed Date Guarantee or the refund terms for a period you have already paid for.

19. General

If any part of these terms is found unenforceable, it is limited or severed to the minimum extent necessary and the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these terms; we may assign them to a successor, including in a merger or sale of the business, and they continue with that successor. These terms, our Privacy Policy and our Refund Policy are the entire agreement between you and Delvir about SphereClerk. Sections 3, 4, 5 and 10 to 19 survive after you stop using SphereClerk. We send notices to the email on your account; you send them to team@delvir.co. Headings are for convenience, and “including” means “including without limitation.” Neither party is liable for delay caused by events outside its reasonable control.
